This book provides the first comprehensive treatment of the governance framework for credit institutions and certain investment firms introduced by the Capital Requirements Directive 2013/36/EU (CRD IV) in response to the global financial crisis and progressively refined most recently by Directive (EU) 2024/1619 (CRD VI).  It systematically and comprehensively analyzes the provisions of the current version of the Capital Requirements Directive (CRD) dealing with internal governance, ESG risk management, AI risk governance, directors’ duties, suitability requirements, board committees and remuneration.
